UNILATERAL CONFIDENTIALITY AGREEMENT

Dark Angel Universe – General Access Version

Effective as of the date signed below (the "Effective Date")

1. WHY THIS AGREEMENT EXISTS

The Company owns a secret transmedia universe called the Dark Angel Universe (DAU) — including video games, films, novels, music, the 2‑Corners NFL Players' Gaming Conference, and the Dark Angel Team Selection Training Program. You will see or hear confidential information about the DAU. This Agreement protects that information.

2. WHAT IS CONFIDENTIAL

"Confidential Information" means everything the Company shows or tells you that is not already public, including but not limited to:
  • Games – DAT‑U3, DAT‑U5: Reset, Dark Files, Rift‑Lacuna™, Unreleased levels, characters, skins, U‑Skin™, Live‑Gear™, DAT Coins, Source code, game design documents, Unreal Engine 5 work, DeepSeek AI – proprietary prompts and fine-tuning weights (not the public open‑source model).
  • Films – Momentum: God Save the King, Ghost Dancing, Third Option, Scripts, budgets, casting, LED stage techniques. SPECIAL WARNING – Dr. Martin Luther King Jr. digital human: This likeness has extra legal restrictions. You may not use, copy, or reference it without separate written permission.
  • Novels – Unpublished Momentum sequels or future editions. Graphic Novels – artwork, character bibles.
  • Technology – NASA license terms, Tribal MOU, B2G training simulations.
  • Marketing – secret launch plans, influencer strategies.
  • Music – unreleased scores, stems, voice recordings.
  • 2‑Corners & Training Program – curriculum, assessment protocols, performance data.
  • Business – financial projections, cap table, investor names.
  • Future Creations – anything not yet announced.

3. WHAT IS NOT CONFIDENTIAL

Information that: (1) Becomes public through no fault of yours; (2) You already knew before signing (with written proof); (3) You developed completely on your own; (4) You got legally from a third party.

4. YOUR OBLIGATIONS

  • 4.1 Keep everything strictly confidential.
  • 4.2 Do not copy, photograph, record, or transmit any Confidential Information.
  • 4.3 Use Confidential Information only for authorized purpose.
  • 4.4 Show only to those who absolutely need it (they must be bound).
  • 4.5 Tell Company immediately if information is lost or improperly accessed.
  • 4.6 Upon request, return/destroy all CI within 5 business days + certification.
  • 4.7 Personal liability for affiliates who breach.

5. NON-SOLICIT

For 18 months, you cannot recruit any Company employee/contractor met through working with us.

6. LIMITED NON-COMPETE

For 12 months, you cannot help create any transmedia project with substantially similar story elements to DAU. Exceptions: existing projects listed in Exhibit B; pure mobile games with no story connection.

7. REMEDIES FOR BREACH

In the event of a breach of the non-solicit or non-compete, the Company reserves the right to seek reasonable legal remedies as permitted by applicable law, including compensation for actual damages and reasonable legal fees. The parties agree to act in good faith to resolve any dispute.

8. IF A LAW REQUIRES DISCLOSURE

Notify Company immediately, help obtain a protective order, disclose only minimum required.

9. NO RIGHTS GRANTED

No ownership or license to IP. Everything remains Company's exclusive property.

10. NO OBLIGATION TO WORK TOGETHER

Either side can stop talking at any time.

11. HOW LONG THIS LASTS

5 years for most CI. Forever for trade secrets. Non-solicit 18 months. Non-compete 12 months.

12. REMEDIES FOR LEAKS

Irreparable harm; injunction available; claims for actual damages and costs.
NO WARRANTY – Information provided "AS IS".

13. GOVERNING LAW – QUEBEC, CANADA

Mediation in Montreal, then courts of Montreal.

14. ENTIRE AGREEMENT

No changes unless signed by both parties.

15. SIGNATURES

By signing below, you confirm agreement.
